Terms of Service

Effective: 11 October 2026 • Company: SONAMAK LLC (Delaware) • Contact: [email protected] • Notices: [email protected] • Service of process: delawareinc.com (registered agent) at the registered office address on file with the Delaware Secretary of State.

1) The Service

We produce short advertising videos for lawful products, services, applications, stores, real estate, events, personal brands, and other accepted projects using AI generation and human editing. Unless otherwise stated in your Statement of Work (SOW), a single-video package includes: up to 8 AI-generated shots, one 60-second master edit, captions, background music, a branded end-card, one standard revision, and one character-consistency pass. Client acknowledges that the services utilize generative artificial intelligence (AI) tools to create video assets, which are then subject to human editing and review.

2) Ordering & Payments

  • Age and authority: You must be at least 18 and have authority to order for the business, brand or person identified at checkout.
  • Order review and payment obligation: Before leaving our site, you see the selected package, delivery option, one-time subtotal and tax treatment. Stripe presents the final amount and the control that creates the payment obligation. No subscription or recurring charge is created by a website order.
  • Online orders are charged 100% upfront unless a signed SOW states otherwise.
  • Currency: Website prices, charges, credits, and refunds are denominated in U.S. dollars (USD), regardless of your country. Your bank or card issuer may convert the charge and may impose exchange or cross-border fees.
  • International billing: We may accept orders from supported countries where payment-provider, sanctions, legal, tax, content, and platform requirements allow. Availability in a country is not a representation that every project is eligible.
  • Eligibility: We screen the initial project before payment and review the complete creative brief before production. We may pause, request changes, or reject material that is unlawful, misleading, unsafe, outside policy, or unsupported by required rights and disclosures.
  • Taxes: Applicable tax, if any, is calculated or displayed at secure checkout based on the information supplied there. Tax collection depends on our registrations and the law governing the transaction. If a legally required tax is not collected, you may remain responsible to your tax authority.
  • Third-party fees (e.g., payment processing fees, platform fees) are passed through where applicable.
  • Paid work begins after we receive the brief, required assets, and payment.

3) Timeline & Service Levels

  • Target Production Timeline: initial production update in ~24 hours; first review cut by ~72 hours from receipt of complete brief and payment.
  • Support Response: We aim to respond to project questions and revision requests within one (1) business day during normal business hours (Mon-Fri, 9am-5pm ET, excluding U.S. federal holidays). Complex technical issues may require additional time.
  • Revision Turnaround: Standard revisions (included in package) are typically completed within 24-48 hours of receiving clear, written feedback.
  • Delays or additional time can result from missing inputs, late feedback, scope changes, or circumstances beyond our reasonable control.

4) Revisions & Acceptance

  • Included: one standard revision round (structure/text/music tweaks) and one consistency pass (to keep the on-screen character visually consistent).
  • Acceptance occurs on delivery of the final files or after five (5) business days without written rejection specifying objective issues relative to the agreed brief.

5) Refund & "Redo" Policy

If the first cut does not materially match the accepted written brief, we will redo once at no charge. If, after the included redo, the deliverable still materially fails to match that brief, you may request a refund of the affected service fee within seven (7) days of delivery. Third-party costs (e.g., premium music licenses) are non-refundable once purchased.

For multi-video packages, each video credit has the fixed USD value allocated to it in the original checkout quote. Eligible partial refunds use that allocation. Refund requests are not complete until the payment processor confirms a successful refund. The full operational rules are in our Refund Policy, which forms part of these Terms. Nothing in these Terms limits non-waivable rights under applicable law.

5A) European consumer withdrawal and early performance

If you are a consumer in the European Economic Area or another country that provides a mandatory cooling-off right, you may normally withdraw from a distance service contract within 14 days after the contract is concluded without giving a reason. Instructions and the model form are in our Withdrawal Notice.

  • Checkout asks separately for your express request that production may begin after we receive a complete brief and assets, even if the 14-day period is still running.
  • If you withdraw after requesting early performance and work has begun, you may owe a proportionate amount for the service supplied up to withdrawal.
  • Your withdrawal right ends only after the service is fully performed where the applicable law allows this and you gave the required prior express request and acknowledgment.
  • We do not treat a custom video as automatically exempt under a personalized-goods rule. Mandatory local consumer protections remain available.

6) Tax & Ownership Transfer

Upon full payment, Producer hereby assigns to Client all rights, title, and interest Producer may have in the final video deliverables. This assignment supports classification of the transaction as a custom creative service.

Electronic Delivery: All deliverables are transferred exclusively via electronic means. No tangible personal property (e.g., USB drives, DVDs) will be provided or shipped.

Sales/Use Tax: We collect and remit sales or use tax where legally required based on economic-nexus rules. If tax is not collected at checkout, you may owe use tax in your jurisdiction. Tax amounts (if applicable) are shown on your invoice.

7) Likeness, Voice & Consent

  • If your project uses a real person's face or voice, you must obtain signed written consent. We may request that consent before production begins. Do not send government IDs or biometric information by ordinary email or WhatsApp. If supporting identity or age-verification evidence is legally necessary, we will provide a separate secure intake method and a project-specific notice before collecting it; if that method is unavailable, we will not collect the evidence or begin biometric processing.
  • We will not impersonate, defame, or use likenesses in political or other sensitive contexts without fresh written consent.

8) Ownership & Project Files

  • Final deliverables: Upon full payment, you receive all rights, title, and interest we may have in the final video deliverables for use across your brand's websites, social channels, and paid ads. Transfer to your wholly-owned affiliates is allowed.
  • Project files & prompts: Unless explicitly purchased, we retain project files, prompts, templates, and working assets.
  • Third-party assets: Music, stock, and fonts remain under their own licenses and terms.

Client Materials — Representations & Warranties

  • Rights & releases: Client represents and warrants that it owns, or has all necessary rights, licenses, permissions, and releases for all materials it supplies or instructs us to use (including logos, brand assets, footage, photos, music, fonts, and data), and that such materials do not infringe, misappropriate, or violate any third-party rights or law.
  • Likeness & voice: Where a real person's likeness, voice, or property is used, Client represents that all required consents and releases have been obtained. If Client asks us to generate or edit a real person's face or voice, Client will provide the requested written consent. Any legally necessary supporting identity evidence must use the separate secure intake method we provide; it must not be sent by ordinary email or WhatsApp. See Appearance & Likeness Consent.
  • Law & platform rules: Client will not supply unlawful, defamatory, or harmful content and will comply with platform rules and applicable law.

Publicity & Portfolio

We may display the final deliverables (not raw project files) in our portfolio and marketing channels (website, social, proposals) only with your explicit permission granted in a signed SOW or Short-Form Consent. If you granted portfolio permission, you may request removal at any time; we will remove or anonymize such display within a reasonable time. See the consent summary at /policies/consent.php.

9) Claims, Compliance & Platform Rules

  • Client as Advertiser: Client bears full responsibility as "The Advertiser" under FTC guidelines for the truthfulness and substantiation of all advertising claims and for all required disclosures (e.g., testimonials, typical-results statements, disclaimers).
  • Deliverables must comply with applicable laws and platform policies. We may refuse content that violates law or platform rules.
  • FTC Endorsements: Client is responsible for compliance with the FTC Endorsement Guides, including clear and conspicuous disclosures (visually and/or audibly within the video itself) (e.g., "Paid actor", "Actor portrayal", "Virtual character") when spokespeople, simulated customers, or AI-generated avatars are used. We may include such disclosures where required by law or platform policy.
  • AI and synthetic-media disclosure: We classify whether a project may falsely appear to be authentic content involving an existing person, object, place, entity or event. Where law or platform policy requires it, we may include a clear visual or audible disclosure (for example, "AI-generated or manipulated imagery") and preserve machine-readable provenance supplied by our tools. You must not remove a required disclosure and remain responsible for the disclosure and platform settings used when you publish the deliverable.

10) Acceptable Use

No unlawful, defamatory, hateful, pornographic, or infringing materials. No content that violates privacy or publicity rights without consent.

Anti-Deepfake / Legitimate Use Only: Client agrees not to use SONAMAK services or deliverables for: (a) creating misleading political content or election interference; (b) non-consensual intimate imagery; (c) fraud, impersonation, or identity theft; (d) harassment or defamation; (e) any purpose that violates applicable deepfake or synthetic media laws (including California Civil Code § 1708.86 and similar state laws). Violation of this section is grounds for immediate termination and may result in legal action.

11) Confidentiality

Non-public briefs, pricing, and strategies are confidential. We may use subcontractors bound by confidentiality.

12) Warranties & Disclaimers

We warrant that we will perform services in a professional manner consistent with industry practice. EXCEPT AS EXPRESSLY STATED, THE SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT OTHER WARRANTIES.

AI ACCURACY DISCLAIMER: CLIENT ACKNOWLEDGES THAT OUTPUTS ARE GENERATED BY PROBABILISTIC AI SYSTEMS AND MAY CONTAIN INACCURACIES, ERRORS, OR "HALLUCINATIONS." SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ACCURACY. CLIENT IS SOLELY RESPONSIBLE FOR HUMAN REVIEW, FACT-CHECKING, AND VERIFICATION OF ALL OUTPUTS BEFORE PUBLICATION OR USE.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY IS CAPPED AT THE GREATER OF FEES PAID FOR THE PROJECT OR USD $1,000.

14) Indemnification

  • You indemnify us from claims arising out of your supplied materials, your ad claims, or your unlawful use of the deliverables, including claims related to false or misleading advertising, violation of third-party privacy or publicity rights, and failure to include required disclosures.
  • You indemnify us from claims arising out of your use or publication of the deliverables, including but not limited to claims alleging that the published content violates any law, infringes any third-party right, or causes harm to any person.
  • We indemnify you for our willful misuse of a person's likeness outside the agreed scope.

15) Force Majeure

Neither party is liable for delays or failure due to events beyond reasonable control.

16) Governing Law & Disputes

Mandatory consumer rights: If you are a consumer, nothing in this section deprives you of mandatory protections, courts, remedies or governing law available in the country where you habitually reside. The arbitration and class-action terms below apply only to the extent they can lawfully bind you.

Informal Resolution (30 days): Before filing arbitration or a lawsuit, the party seeking relief must email a Notice of Dispute to [email protected] with the claimant's name, company, contact info, a description of the claim, and requested relief. The parties will work in good faith for 30 days to resolve it.

Arbitration Agreement: Except for the carve-outs below, any dispute arising out of or relating to these Terms or the Services is resolved by binding arbitration on an individual basis. The Federal Arbitration Act governs this section.

Carve-Outs: Either party may (a) bring an individual claim in small-claims court; and (b) seek temporary or injunctive relief in court to protect intellectual property, confidentiality, or security (including misuse of access, scraping, or circumvention).

Administrator, Rules, Seat: For business customers, arbitration is administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat and place of arbitration is Wilmington, Delaware; language English; one neutral arbitrator (three if claimed monetary relief exceeds $1,000,000, excluding fees/costs). If AAA is unavailable, a comparable administrator (e.g., JAMS) with substantially similar rules will be used, or an arbitrator will be appointed under the FAA.

Delegation: The arbitrator has exclusive authority to decide all gateway issues (arbitrability, scope, formation, unconscionability, statute of limitations) except where non-waivable law requires a court to decide.

No Class Actions: Class, collective, consolidated, or representative proceedings are not permitted; relief may be awarded only to the individual party.

Mass-Arbitration Management: If 25 or more similar demands are filed by the same or coordinated counsel, AAA mass-arbitration procedures apply with staged bellwethers, early mediation, and process-arbitrator case-management orders, including batching and fee allocation under the applicable AAA schedule.

Confidentiality & Award: Arbitration filings, evidence, transcripts, and awards are confidential unless disclosure is required by law. The award is final and may be entered as a judgment in any court with jurisdiction.

Governing Law & Forum: Delaware law governs (excluding its conflict-of-laws rules). For the carve-outs above and for entry of judgment on an award, the exclusive venue is the state or federal courts located in Wilmington, Delaware, and each party consents to personal jurisdiction there. The FAA governs enforcement of the arbitration agreement.

17) Changes to These Terms

We may update these Terms. Material changes apply prospectively and will be posted with a new "Effective" date.
